Principal attorney
J Rain brings legal, business, and operational closing experience to the table.
J Rain is a business escrow and franchise transactions attorney for closely held business sales, franchise transfers, and related closing work. Rain Law Firm supports buyers, sellers, brokers, lenders, franchise systems, and business owners with escrow, asset purchase agreements, closing documents, licensing and compliance issues, lender conditions, and post-closing business-law support in Washington, Oregon, Hawaii, and California via co-counsel where required.
The firm regularly supports closely held business sales and franchise resales from LOI through closing. That includes APAs, promissory notes, security agreements, guarantees, resolutions, lease and contract assignments, tax clearance work, UCC and litigation searches, wire controls, closing statements, earnest-money custody, commission instructions, and the practical follow-up needed when parties, brokers, lenders, franchisors, landlords, and agencies all have to line up.
J brings a business operator's perspective to that legal work. He holds a JD and MBA, worked at IBM on mergers-and-acquisitions integration for software and hardware acquisitions, and has founded and operated companies himself. He has been the person negotiating a deal, the in-house lawyer integrating one, the entrepreneur living with the result, and the outside attorney trying to get one closed on time.
That background shows up in the way Rain Law Firm handles transactions. The work is not treated as a stack of forms. A closing is finished when the funds, signatures, approvals, searches, notices, lender requirements, franchise-system requirements, licensing items, and post-closing handoff all make sense. The goal is practical: keep the deal moving, protect the neutral escrow role, and leave everyone with a closing file they can rely on.
